1. Contractual Agreement

This document constitutes a legally binding corporate contract executed between the end-user ("You") and Goodryde International (hereinafter referred to as "The Company," "We," or "Our"). This agreement strictly governs all access to the Goodryde corporate web infrastructure, proprietary digital diagnostic tools, and B2B commercial portals (collectively, the "Infrastructure"). Accessing the Infrastructure constitutes explicit, irrevocable acknowledgment of and compliance with these mandates. If you reject these operational strictures, you are legally prohibited from utilizing the Infrastructure and must terminate your session immediately.

2. Intellectual Property and Database Architecture

The Goodryde International web infrastructure constitutes a proprietary digital asset. All visual topography, deep-charcoal user interfaces, .pdf Technical Data Sheets, proprietary algorithms, and corporate trademarks (the "Assets") are protected under Indian and international intellectual property law.

• 2.1 Strict Prohibition on Data Extraction: The Assets—specifically including the "Smart Oil Matcher" database matrix and OEM vehicle telemetry—are deployed strictly for end-user visual and diagnostic functionality. Users are strictly prohibited from copying, reverse-engineering, decompiling, or deploying automated web-scraping bots to extract our kinematic viscosity data or commercial imagery.
• 2.2 Corporate Aesthetic Protection: The specific industrial design matrices deployed across the Infrastructure—including the GOODRYDE logo and Safety Orange accent elements—constitute protected corporate trade dress. Any unauthorized reproduction will result in immediate legal injunction.

3. Operational Compliance and Acceptable Use

Executing a session on this Infrastructure mandates absolute compliance with the following operational strictures. Users are explicitly prohibited from deploying the Infrastructure for unauthorized commercial exploitation or data aggregation.

Strictly prohibited actions include, but are not limited to:

• Deploying automated extraction protocols (including bots, scrapers, or scripts) to aggregate proprietary data, specifically targeting the diagnostic matrix of the Goodryde Oil Finder tool.
• Bypassing, neutralizing, or probing the security architecture of the corporate network.
• Attempting to decompile or reverse-engineer diagnostic algorithms, including the underlying database repositories.

4. Diagnostic Tool Utilization & Liability Limitation

The Goodryde "Oil Finder" diagnostic tool is deployed exclusively as a digital reference parameter based on standard Original Equipment Manufacturer (OEM) data specifications.

• 4.1 Operational Disclaimer: Utilization of this tool constitutes legal acknowledgment that digital recommendations do not supersede official OEM manuals, mechanical specifications, or physical mechanical inspections.
• 4.2 Absolute Limitation of Liability: Goodryde International explicitly disclaims all liability for mechanical failure, component degradation, clutch slippage, or thermal breakdown resulting from the utilization of digital recommendations. All operational liability parameters are strictly governed by the Company’s Disclaimer & Warranty Policy.

5. Commercial Procurement & Dealership Applications

Utilization of the Goodryde B2B Connect and Dealer intake portals mandates the submission of exact, legally verifiable corporate data.

• 5.1 Application Status: The submission of a dealership intake form does not constitute a binding corporate partnership, wholesale agreement, or authorized distributor status.
• 5.2 Unilateral Rejection: Goodryde International retains unilateral authority to reject any commercial application or distributor request without providing operational justification.
• 5.3 Contractual Activation: Authorized distribution status is legally activated exclusively upon the execution of a physical Distribution Contract and the successful clearance of initial capital inventory requirements.

6. Infrastructure Management & Termination

The Company reserves the unilateral and absolute authority to manage the network to protect corporate assets. The Company may:

• Audit network traffic for strict compliance with these mandates.
• Initiate legal prosecution against violating entities or individuals.
• Terminate or restrict IP access without prior notification.

The Company does not guarantee uninterrupted operational uptime and assumes zero liability for system outages, data transmission delays, or scheduled maintenance disruptions.

7. Governing Jurisdiction

This corporate agreement and all utilization of the Infrastructure are governed by the statutory laws of India. All legal proceedings, disputes, or litigations resulting from the use of this site shall be executed exclusively within the state and federal courts located in Mumbai, Maharashtra, India. By accessing the site, users legally waive all defenses regarding lack of personal jurisdiction or forum non conveniens.

8. Absolute Indemnification

By utilizing this infrastructure, you legally agree to indemnify, defend, and hold harmless Goodryde International, its board of directors, and its logistics partners from any claims, financial damages, legal expenses, or liabilities arising directly from your breach of these Terms of Service. This includes, but is strictly not limited to, the unauthorized distribution of our formulations, the misrepresentation of our technical data to third-party consumers, or the injection of malicious code into our digital portals.

9. Severability

These Terms of Service constitute the absolute agreement between the user and Goodryde International. Failure by the Company to enforce any specific mandate does not constitute a waiver of that provision. If any provision is deemed legally unenforceable, that specific provision shall be severed without invalidating the remaining operational mandates.
